1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and BRANDCENTRAL LLC ("Company," "we," "us," or "our"), a Limited Liability Company, concerning your access to and use of the LegalLio platform and services ("Services"). By accessing or using our Services, you agree that you have read, understood, and agree to be bound by these Terms.

2. Services Description

LegalLio provides AI-powered legal document generation and analysis services. Our platform allows users to create, customize, and download legal documents for various purposes. BRANDCENTRAL LLC operates as a technology service provider and does not provide legal advice or legal services.

3. User Accounts and Eligibility

To use our Services, you must:

• Be at least 18 years of age or the age of majority in your jurisdiction
• Provide accurate, current, and complete information during registration
• Maintain the security of your account credentials
• Promptly update any information to keep it accurate and current
• Accept full responsibility for all activities under your account

4. Subscription Plans and Payment Terms

Single Document Plan: One-time payment for individual document generation with 7-day revision period.

Pro Plan: Monthly or annual subscription providing 5 documents per month with unlimited revisions.

Enterprise Plan: Custom pricing for unlimited documents and additional features.

All payments are processed securely through Stripe. Subscription plans automatically renew unless cancelled. Refunds are provided in accordance with our refund policy within 7 days of initial purchase for unused services.

5. Intellectual Property Rights

The LegalLio platform, including all software, designs, text, graphics, and trademarks, is owned by BRANDCENTRAL LLC and protected by copyright, trademark, and other intellectual property laws. Documents you generate remain your property, but you grant us a limited license to process and store them to provide our Services.

6. Prohibited Uses

You agree not to:

• Use the Services for any illegal purpose or to violate any laws
• Attempt to gain unauthorized access to any part of the Services
• Reverse engineer, decompile, or disassemble any part of the platform
• Use automated systems to access the Services without authorization
• Share or resell access to the Services without permission
• Upload malicious code or attempt to disrupt the Services

7. AI-Generated Content and Disclaimers

Documents are generated using artificial intelligence technology. While we strive for accuracy, BRANDCENTRAL LLC makes no representations or warranties about the accuracy, completeness, or legal sufficiency of AI-generated documents. Users are solely responsible for reviewing and verifying all generated content and should seek professional legal advice before using any documents.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BRANDCENTRAL LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM YOUR USE OF THE SERVICES.

9. Indemnification

You agree to indemnify, defend, and hold harmless BRANDCENTRAL LLC, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising out of your use of the Services, violation of these Terms, or infringement of any third-party rights.

10. Termination

We reserve the right to suspend or terminate your account and access to the Services at any time, with or without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties, or for any other reason in our sole discretion.

11. Modifications to Terms

BRANDCENTRAL LLC reserves the right to modify these Terms at any time. We will provide notice of material changes by updating the "Last updated" date and, where appropriate, through email notification. Your continued use of the Services after such modifications constitutes acceptance of the updated Terms.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles. Any disputes arising from these Terms or your use of the Services shall be resolved through binding arbitration in accordance with the American Arbitration Association rules, except that either party may seek injunctive relief in court.

13. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.

14. AI-Specific Terms

You acknowledge and agree that LegalLio uses generative AI to produce document content. By using the Services, you accept that:

• AI-generated output may contain inaccuracies, hallucinations, or outdated legal references and must be reviewed by you (and ideally a licensed attorney) before use
• You will not use LegalLio to generate content that is unlawful, infringing, defamatory, fraudulent, or designed to circumvent regulatory disclosure obligations
• You retain ownership of the input data you provide and the final documents you generate, subject to the limited license described in Section 5
• You will comply with applicable AI disclosure laws (including the EU AI Act, California AB 2013, and similar transparency regulations) when distributing AI-assisted documents to third parties
• BRANDCENTRAL LLC will not use your input data or generated documents to train general-purpose AI models

15. Acceptable Use & Anti-Abuse

You agree not to (a) attempt to extract or reverse-engineer model weights or proprietary prompts, (b) use the Services to generate documents in jurisdictions or for activities prohibited by applicable export control or sanctions laws, (c) submit personal information about third parties without a lawful basis, or (d) abuse rate limits, free tiers, or bypass billing controls. Violations may result in suspension without refund.
